• You are authorised to enter into the transaction
• Where you act on behalf of a company or organisation, you have authority to bind that entity to the relevant transaction
If you do not agree to these Terms, you should not place an order or use the Services for a transaction.
5. PRODUCTS AND PRODUCT INFORMATION
Softcore makes reasonable efforts to ensure that product descriptions, specifications, photographs, dimensions, pricing and other information displayed on our website are accurate.
However, product information may originate from:

• Wholesalers
• Suppliers

8. SUPPLIER STOCK
Where Softcore relies on supplier stock, final availability may only be confirmed after an order has been received.
If a product becomes unavailable, discontinued or subject to an unexpected supplier delay, Softcore will contact the customer as soon as reasonably possible.
Available options may include:
• A revised lead time
• Backorder
• A suitable equivalent product
• An alternative product
• Cancellation of the affected item
• Refund of the affected amount where appropriate
Softcore will not intentionally supply a materially different substitute without customer approval where approval is reasonably required.
9. PRICING
Unless otherwise indicated, prices displayed on the website are expressed in South African Rand.
Pricing may be affected by:
• Supplier price increases
• Manufacturer price changes
• Exchange-rate movements
• Freight costs
• Import costs
• Duties
• Taxes
• Availability
• Product configuration
• Project requirements
Softcore may change prices displayed on the website at any time before an order is accepted.
10. PRICING ERRORS
Softcore makes reasonable efforts to ensure that prices are accurate.
However, typographical, system, data-entry or pricing errors may occasionally occur.
An obvious pricing error does not obligate Softcore to supply goods at an incorrect price.
Where a pricing error affects an order, Softcore may contact the customer to:
• Confirm the correct price
• Allow the customer to continue with the corrected price
• Cancel the affected item
• Refund amounts paid where applicable
11. QUOTATIONS
Quotations supplied by Softcore are subject to:
• The validity period stated on the quotation
• Product availability
• Supplier availability
• Any stated exchange-rate conditions
• Freight assumptions
• Manufacturer pricing
• Technical specifications
• Any project-specific conditions
A quotation is not an indefinite offer.
Once its validity period expires, Softcore may issue a revised quotation before accepting the order.
12. REQUESTS FOR QUOTATION
Submitting an RFQ does not create a binding order.
An RFQ is a request for Softcore to assess the requirement and provide commercial or technical pricing where applicable.
A binding transaction is created only once the relevant quotation or order has been accepted in accordance with its terms and any required payment or other agreed condition has been satisfied.
13. PAYMENT
Unless otherwise agreed by Softcore in writing, orders are payable 100% upfront.
Softcore will generally only:
• Place supplier orders
• Procure materials
• Commence fabrication
• Configure equipment
• Commence assembly
• Release products
• Arrange dispatch
once cleared payment has been received.
Where Softcore expressly grants written credit or alternative payment terms, those agreed terms will apply.
14. ACCEPTANCE OF ORDERS
An order may be accepted through one or more of the following:
• Payment through our website
• Written acceptance of a quotation
• Issuing a purchase order accepted by Softcore
• Making payment against a quotation
• Written instruction to proceed
• Approval of a drawing or specification
• Another clear written agreement
Automated website acknowledgements do not necessarily constitute final confirmation of supplier stock availability.
15. SPECIAL ORDERS
A Special Order includes any product which Softcore:
• Does not ordinarily hold as standard stock
• Sources specifically for a customer
• Orders specifically from a supplier
• Imports specifically for a customer
• Reserves specifically for a project
• Procures against an accepted quotation
• Configures specifically for a customer
• Has manufactured specifically for a customer

16. CUSTOM PRODUCTS AND FABRICATION
Custom products include products manufactured, fabricated, assembled, programmed, configured or modified according to a customer's particular requirements.
These may include:
• PLC panels
• VSD panels
• MCCs
• Electrical control panels
• Main distribution boards
• Sub-distribution boards
• Telemetry panels
• RTU panels
• Pump control systems
• Borehole control systems
• Reservoir control systems
• Junction boxes
• Marshalling panels
• Enclosures
• Cabinets
• Kiosks
• Feeder pillars
• Outdoor telecommunications or fibre cabinets
• Fabricated assemblies
• Project-specific equipment
• Other equipment manufactured or configured to order
17. AUTHORISATION TO COMMENCE WORK
By:
• Accepting a quotation
• Submitting payment
• Issuing an accepted purchase order
• Approving a drawing
• Approving a specification
• Approving a bill of materials
• Providing written instruction to proceed
• Otherwise clearly instructing Softcore to fulfil an order
the customer authorises Softcore to take reasonable steps necessary to fulfil that order.
This may include authorising Softcore to:
• Place supplier orders
• Purchase materials
• Reserve stock
• Purchase components
• Incur freight costs
• Commence design
• Commence fabrication
• Commence assembly
• Commence wiring
• Commence programming
• Commence configuration
• Commence testing
• Incur labour
• Incur project-specific or non-recoverable costs
18. WHEN A SPECIAL OR CUSTOM ORDER BECOMES COMMITTED
Once Softcore has acted on the customer's authorisation and commenced performance, the order becomes committed.
Commencement of performance includes, without limitation:
• Placing an order with a manufacturer, distributor, wholesaler or supplier
• Purchasing materials or components
• Allocating project-specific materials
• Reserving specially sourced stock
• Commencing fabrication
• Commencing manufacture
• Commencing assembly
• Commencing wiring
• Commencing programming
• Commencing configuration
• Commencing design or engineering work
• Preparing project-specific drawings
• Incurring freight or import costs
• Incurring labour
• Incurring any other material non-recoverable cost
19. CANCELLATION OF SPECIAL AND CUSTOM ORDERS
Once a Special Order or Custom Order has become committed, the customer may not cancel it merely because:
• The customer changes their mind
• The customer no longer requires the product
• The customer's project is cancelled
• The customer's project is postponed
• The customer's own customer cancels
• The customer obtains an alternative product
• The customer selects another supplier
• The customer's budget changes
• The customer's circumstances change
Softcore should not be required to absorb labour, materials, supplier commitments, fabrication costs or other expenditure incurred specifically at the customer's instruction.
20. NON-REFUNDABLE COMMITTED COSTS
Once performance has commenced, amounts attributable to committed or non-recoverable costs are non-refundable in the event of a convenience or change-of-mind cancellation, to the extent permitted by applicable law.
These costs may include:
• Labour
• Materials
• Components
• Supplier charges
• Manufacturer charges
• Fabrication
• Manufacturing
• Assembly
• Design
• Engineering
• Programming
• Configuration
• Testing
• Packaging
• Freight
• Import costs
• Customs-related costs
• Supplier cancellation charges
• Project-specific expenses
• Other costs incurred specifically for the order
Nothing in this clause limits a legitimate statutory claim relating to defective goods, defective workmanship, incorrect supply or another right that cannot lawfully be excluded.
21. CUSTOMER PROJECT CANCELLATION
Cancellation, postponement, suspension or termination of the customer's own project, contract or end-customer order does not automatically cancel the customer's obligations to Softcore.
Where Softcore has already incurred commitments or costs in reliance on an accepted order, those obligations remain payable subject to applicable law.
22. CUSTOMER-SPECIFIED PRODUCTS
Where the customer provides a:
• Manufacturer
• Model number
• Part number
• SKU
• Technical specification
• Datasheet
• Drawing
• Bill of materials
• Written product requirement
and Softcore supplies the product requested, the customer is responsible for confirming that the requested product is suitable for its intended application unless Softcore expressly agreed in writing to undertake responsibility for product selection or system design.
A correctly supplied product is not defective merely because the customer later determines that another product would better suit their application.
23. TECHNICAL PRODUCT SELECTION
Industrial and technical products may require specialist selection.
Relevant factors can include:
• Voltage
• Phase
• Frequency
• Current
• Power rating
• Motor size
• Communications protocol
• Input/output requirements
• Connector type
• Network standard
• Environmental rating
• IP rating
• Dimensions
• Installation environment
• Manufacturer compatibility
• Software compatibility
Customers should seek technical advice before ordering where suitability is uncertain.
24. INSTALLATION AND COMMISSIONING
Certain products require installation, configuration or commissioning by appropriately qualified persons.
Softcore is not responsible for damage resulting from:
• Incorrect installation
• Incorrect wiring
• Incorrect voltage
• Incorrect configuration
• Unauthorised modification
• Improper commissioning
• Failure to comply with manufacturer instructions
• Operating equipment outside its rated specifications

25. DELIVERY TIMEFRAME
Our standard estimated delivery timeframe for ordinary South African orders is:
7–14 BUSINESS DAYS FROM CONFIRMATION OF PAYMENT
This is an estimated delivery period and not a guaranteed delivery date.
Different lead times may apply to:
• RFQ products
• Special Orders
• Custom products
• Imported-to-order products
• Project orders
• Fabricated products
• Oversized products
• Heavy freight
• Products subject to manufacturer lead times
The applicable lead time may be confirmed separately.
26. DELIVERY DELAYS
Delivery may be affected by circumstances including:
• Supplier delays
• Stock shortages
• Manufacturer lead times
• Courier delays
• Freight disruptions
• Import delays
• Customs processes
• Public holidays
• Weather
• Road closures
• Industrial action
• Infrastructure failures
• Load shedding
• Events outside Softcore's reasonable control
Where Softcore becomes aware of a material delay, we will make reasonable efforts to communicate it to the customer.
27. SHIPPING AND FREIGHT
Shipping charges may depend on:
• Weight
• Dimensions

• Number of parcels
• Freight requirements
• Special handling
Ordinary courier charges displayed at checkout may not apply to unusually heavy, bulky or oversized products.
28. OVERSIZED AND SPECIAL DELIVERY PRODUCTS
Some products require specialised freight.

• Palletised goods
• Heavy industrial products
• Long rigid products
• Products exceeding standard courier limitations
Rigid or difficult-to-transport products longer than approximately 2 metres may require a separate freight quotation.
Softcore may contact the customer before processing or dispatching such goods to confirm delivery arrangements and any additional freight charges.
29. CROSS-BORDER ORDERS
Cross-border supply may be arranged on request.
Cross-border transactions may be subject to:
• Separate freight quotations
• Export requirements
• Import permits
• Duties
• Taxes
• Customs charges
• International freight
• Insurance
• Destination-country requirements
Unless expressly stated otherwise, the standard 7–14 business day South African delivery estimate does not apply to cross-border orders.
30. DELIVERY ADDRESS
The customer is responsible for providing complete and accurate delivery information.
The customer should ensure that:
• The delivery address is correct
• Contact information is accurate
• The destination is accessible
• Relevant security or estate access arrangements are made
• An authorised person is available to receive delivery where necessary
31. FAILED DELIVERY
Additional freight or redelivery charges may be payable by the customer where delivery fails because of:
• An incorrect address
• Incorrect contact details
• No authorised recipient being available
• Restricted access
• Failure to provide required access information
• Customer-requested redelivery
where permitted by applicable law.
32. INSPECTION OF GOODS
Customers should inspect delivered products as soon as reasonably possible.
Visible transport damage should, where possible:
• Be noted with the courier
• Be photographed
• Be reported promptly to Softcore
• Be supported by photographs of the packaging and goods
Failure to take photographs does not automatically remove any statutory right, but evidence may assist in resolving transport claims.
33. RETURNS AND REFUNDS
Returns, refunds, exchanges, cancellations, defective products and warranty matters are governed by Softcore's Refund & Returns Policy together with applicable law.
The Refund & Returns Policy forms part of these Terms.
34. CHANGE-OF-MIND RETURNS
Where no statutory return or cancellation right applies, Softcore is not automatically obliged to accept a return merely because the customer:
• Changes their mind
• Ordered the incorrect product
• No longer needs the product
• Finds an alternative product elsewhere
• Cancels the underlying project
Softcore may consider discretionary returns of standard products in accordance with the Refund & Returns Policy.
35. ELECTRONIC TRANSACTIONS
Transactions concluded through our website are subject to applicable South African electronic-commerce law, including the Electronic Communications and Transactions Act 25 of 2002.

37. MANUFACTURER WARRANTIES
Products may carry warranties provided by manufacturers or suppliers.
The duration and terms of those warranties vary according to product and manufacturer.
Warranty assessment may require involvement from:

• The distributor
• The manufacturer
• An authorised service centre
Manufacturer warranties operate in addition to statutory rights where applicable.

Unless otherwise stated, Softcore owns or is licensed to use the original:

39. THIRD-PARTY TRADEMARKS
Manufacturer names, product names, logos, trademarks, photographs, technical documentation and product information remain the property of their respective owners.
The appearance of a manufacturer's product or trademark on our website does not by itself mean that Softcore is an authorised distributor, authorised agent or official representative of that manufacturer.
Where a specific authorised relationship exists, it may be stated separately.
40. PROHIBITED USE OF THE WEBSITE

constitute the agreement governing the relevant transaction to the extent applicable.
Where a specific written quotation or project agreement expressly varies a general provision of these Terms, the specific written provision will apply to that transaction to the extent of the inconsistency.
47. NO WAIVER
If Softcore does not immediately enforce a right under these Terms, that does not mean that Softcore has permanently waived that right.
A waiver will only be effective to the extent clearly agreed or required by law.
48. SEVERABILITY
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the extent necessary to comply with applicable law.
The remaining provisions will continue to apply to the extent legally permissible.
49. CHANGES TO THESE TERMS
